This module recognizes that candidates are potential accountants, rather than potential lawyers.

Students will develop a core level of knowledge and skills around the understanding of a general legal framework, and of specific legal areas relating to business and the ability to recognise the need to seek further specialist legal advice when and where necessary from a Maltese legal context.


Corporate and Business Law (LW-MLA) is divided into eight areas.

A. Essential elements of legal systems:

  • Court structure
  • Sources of law
  • Human rights

B. The law of obligations:

  • Formation of a contract
  • Breach of contract and remedies
  • The law of tort
  • Professional negligence

C. Employment law:

  • Contract of employment
  • Dismissal and redundancy

D. The formation and constitution of business organisations:

  • Agency law
  • Partnerships
  • Corporations and legal personality
  • The formation and constitution of a company

E. Capital and the financing of companies:

  • Share capital
  • Loan capital
  • Capital maintenance and dividend law

Learning Outcome:

Upon successful completion of this module students should be able to;

A. Identify the essential elements of the legal system including the main sources of law

B. Recognise and apply the appropriate legal rules relating to the law of obligations

C. Explain and apply the law relating to employment relationships

D. Distinguish between alternative forms and constitutions of business organisations

E. Recognise and compare types of capital and the financing of companies

F.Describe and explain how companies are managed, administered and regulated

G. Recognise the legal implications relating to insolvency law

H. Demonstrate an understanding of corporate fraudulent and criminal behaviour

Entry Requirements

ACCA Corporate and Business Law Malta (LW-MLA/F4) is open to students who:

  • A relevant and accredited MQF 5 rated diploma in Accounting, Finance, Business Studies, or similar
  • Successful completion of the Applied Knowledge ACCA examinations
  • A relevant and accredited MQF level 6 degree in Accounting, Finance, Business studies or similar
  • A relevant and accredited MQF 7 masters in Accounting, Finance, Business studies or similar
  • Mature, Adult Learners who do not possess the requisite qualifications are kindly asked to contact the Academy on for further guidance

Exam Information

The LW-MLA module is examined by a two-hour computer-based examination. The examination consists of:

  • Section A 25 x 2 marks objective test questions 50% 20 x 1 mark objective test questions 20%
  • Section B 5 x 6 marks constructed response questions 30% 100%

**All questions are compulsory.

In addition, students should support and enrich their answers with analysis referring to cases or examples. Kindly note, it is the point of law that the case establishes that is of critical importance. On the other-hand knowing the facts of cases can be helpful as sometimes questions may include scenarios based on well-known cases. Furthermore, it is not necessary to quote section numbers of Acts verbatim.

The closest CBE exam date is Friday, 9 December 2022.
